Introduction

Welcome to the Max Ventures website, www.maxventures.es the following Terms of Use for the Max Ventures Site constitute a legally binding agreement between you, an individual user, or a single entity (collectively or individually Users), and Max Ventures about your use of the Max Ventures Site. Separately and together, Users and Max Ventures are referred to herein as a Party or the Parties. Any additional stated guidelines or restrictions related to specific services and features, which may be published from time to time, shall apply when you use the Max Ventures Site (the Guidelines). All Guidelines are incorporated into these Terms of Use by reference.

Before using the Max Ventures site, please read these terms of use carefully. By registering for and accessing, browsing, or using the Max Ventures site or service, you acknowledge that you have read, understand, and agree to be bound by the following terms of use, including the guidelines and any future changes to it (collectively, the words). If you do not agree with these terms, you must immediately cease using max venture’s website.

 

1. Eligibility

To use the Max Ventures Site, you must be of legal age in your country, be able to form legally binding contracts under the terms, conditions, obligations, affirmations, representations, and warranties set out herein, and be fully able and competent to abide by and comply with these Terms. You affirm that you satisfy the qualifying criteria outlined in this section. If you are using or opening an account on behalf of a company, entity, or organization (each, a “Subscribing Organization”), you warrant and represent that you: are an authorized representative of that Subscribing Organization with the authority to bind such Subscribing Organization to these Terms and agree to be bound by these Terms on behalf of such Subscribing Organization.

2. Privacy Policy

Max Ventures takes your security very seriously. The Max Ventures Privacy Policy is incorporated by reference into these Terms. Please read this policy carefully for details on the collection, use, and disclosure of your personally identifiable information by Max Ventures.

3. Modification of the Terms

Max Ventures maintains the right, at our sole discretion, to alter, revise, add, or delete sections of these Terms without prior notice. All modifications shall take effect immediately. In the event of a significant change, we will notify you at least 30 days in advance through email or by publishing on the Max Ventures website. In our sole discretion, we shall assess what constitutes a substantial change. Please review these Terms frequently for any modifications. Your continued use of the Max Ventures website following the publication of changes represents your acceptance of these modifications. You are no longer authorized to access the Max Ventures website if you do not accept the updated Terms.

4. Max Ventures Site Access

Max Ventures grants you permission to use the Max Ventures Site following these Terms, provided that and for so long as (i) you use the Max Ventures Site solely for your personal use; (ii) except as expressly permitted or indicated in these Terms, you do not download, reproduce, redistribute, retransmit, publish, resell, distribute, publicly display or otherwise exploit any portion of the Max Ventures Site in any medium without Max Ventures’ prior written authorization; (iii)

(iv); You do not engage in any prohibited uses specified below; (v) otherwise, fully comply with these Terms. Max Ventures controls and offers the Max Ventures Website from its facilities in Palma de Mallorca, Balearic Islands. Max Ventures makes no assurances about the suitability or availability of the Max Ventures Site in other areas. If you access or use the Max Ventures website from outside of Spain, you do so at your own risk and are responsible for compliance with local laws.

 

 

 

 

 

 

5. Ownership; Proprietary Rights

Max Ventures is the owner and licensee of the Max Ventures Site, including the content, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, services, Max Ventures trademarks and logos, and all other elements of the Max Ventures Site that are provided by Max Ventures (Max Ventures materials). Max Ventures materials do not include Non-Max Ventures content (as defined below). You agree not to sell, license, distribute, reproduce, alter, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Max Ventures Site or the Max Ventures materials, unless as allowed explicitly by Max Ventures. Max Ventures reserve all rights not expressly granted in these Terms. User shall not acquire any right, title, or interest in Max Ventures materials except the restricted rights specified in these Terms. Max Ventures does not guarantee or certify the correctness or completeness of any Max Ventures materials.

6. User Submissions

  1. The Max Ventures Site may now or in the future permit the submission and posting or linking of media, text, audio, and video recordings, photos, commentary, or any other content submitted by you and other users, including without limitation any participants in the Max Ventures accelerator program, whether students or mentors (User Submissions), and the hosting, sharing, and publication of such User Submissions. Max Ventures has no authority over User Submissions. Max Ventures offers no guarantee that it will publish or otherwise utilize your User Submissions, and it may or may not do so at its sole discretion. You acknowledge that regardless of whether any User Submissions are published, Max Ventures does not guarantee the confidentiality of any User Submissions.

  2. Grants of Rights; You grant Max Ventures and its affiliates a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, transferable license, with the right to grant and authorize sublicenses, to use, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, and otherwise exploit your User Submissions in connection with the Max Ventures Site and Max Ventures’ (and its successor’s) business. You allow Max Ventures and its affiliates and sublicensees the right to use if they so choose, the name you provide in connection with such User Submission. You also agree to irrevocably waive (and cause to be waived) all claims and assertions of moral rights or attribution concerning your User Submissions. You also grant each user of the Max Ventures Site a non-exclusive license to access your User Submissions via the Max Ventures Site and to use, reproduce, distribute, prepare derivative works of, display, and perform such User Submissions, but only to the extent permitted by the functionality of the Max Ventures Site and these Terms.

  3. Your Representations and Warranties Regarding User Submissions. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own, or have the necessary licenses, rights, consents, and permissions to use and authorize Max Ventures to use, all patent, trademark, copyright, or other proprietary rights in and to any and all User Submissions to enable inclusion and use of User Submissions in the manner contemplated by Max Ventures and these Terms, and to grant the rights and license set forth in this Section, and (ii) your User Submissions, Max Ventures’ use of such User Submissions pursuant to these Terms, and Max Ventures’ exercise of the license rights set forth in this Section, do not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) violate any applicable law or regulation.

  4. Prohibited User Submission Uses Regarding your User Submissions, you additionally agree not to publish, post, submit, transmit through or otherwise make available the following to the Max Ventures Site: (i) any inaccurate or misleading statements that might harm Max Ventures or any other party; (ii) any material that is unlawful, defamatory, libelous, slanderous, sexually explicit, obscene, abusive, profane, vulgar, sexually explicit, threatening, harassing, harmful, hateful, racially or ethnically offensive, or otherwise objectionable; or that encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law or any right to privacy or publicity; (iii) advertisements or solicitations for products, services, or businesses; or (iv) any content that is harmful to minors in any way is prohibited.

  5. Non-Max Ventures Content Disclaimer

You acknowledge that, when using the Max Ventures Site, you may be exposed to User Submissions and other third-party content or information (collectively, “Non-Max  Ventures Content”) from a variety of sources and that you may be exposed to Non-Max Ventures Content that is inaccurate, offensive, indecent, or otherwise objectionable. Max Ventures does not support any Non-Max Ventures Content or any opinion, suggestion, or advice stated in such content. Under no circumstances will Max Ventures be liable in any way for or in connection with the Non-Max Ventures Content, including, but not limited to, for any inaccuracies, errors, or omissions in any Non-Max  Ventures Content, for any intellectual property infringement concerning any Non-Max Ventures Content, or for any loss or damage of any kind incurred as a result of the use of any Non-Max Ventures Content posted, emailed or otherwise displayed, communicated, transmitted through or in connection with the Max Ventures Site, including any information provided by any participant in the Max Ventures accelerator program.

8. Non-Monitoring of Users and Non-Max Ventures Content

You acknowledge that you, and not Max Ventures, are solely liable for all User Submissions you upload, post, email, transmit, or otherwise make accessible over the Max Ventures Site. Max Ventures is not responsible for monitoring the Non-Max Ventures Content submitted by Users or otherwise made available by third parties for any reason. Max Ventures assumes no responsibility for the Non-Max Ventures Content, no obligation to modify or remove any inappropriate Non-Max Ventures Content, and no responsibility for the conduct of the user submitting any such Non-Max Ventures Content, if at any time Max Ventures chooses, in its sole discretion, to monitor the Non-Max Ventures Content. You accept that you are responsible for evaluating and bearing all risks associated with using any User Submissions or other Non-Max Ventures Content, including any reliance on the accuracy, completeness, usefulness, or legality of such User Submissions or other Non-Max Ventures Content.

9. Removal of Non-Max Ventures Content

Max Ventures and its designees shall have the right (but not the responsibility) to refuse to publish or remove any Non-Max Ventures Content that is available on the Max Ventures Site in whole or in part at any time for any reason or no reason, with or without notice and without liability of any kind.

10. Account Information

To access some features, services, and material of the Max Ventures Site restricted to Max Ventures accelerator program participants, you must register for an account, apply for enrolment, and be accepted into the Max Ventures accelerator program, as well as pay any relevant fees. You represent and warrant to Max Ventures that the information you give at registration and at all other times will be true, accurate, current, and complete. You also represent and certify that you will maintain the accuracy and currency of this information at all times. You recognize, consent, and agree that Max Ventures may access, store, and disclose your account information and User Submission in connection with the Max Ventures accelerator program or otherwise as authorized by the Privacy Statement. You may not use as a username the name of another person or entity or one that is not lawfully accessible for use, such as a name or trademark that is protected by the rights of a third party and not owned by you. You are not permitted to use an insulting, vulgar, or profane username. We have the right to reject service, terminate accounts, and delete or modify content as we see fit.

11. Password

When registering, you will be required to provide a password. Since you are responsible for any activities that occur under your password, you should keep it confidential. You agree to assume responsibility for any activities that occur under your account or password. If you have cause to suspect that your account is no longer safe, you must immediately tell Max Ventures at max@maxventures.es. You might be held accountable for the losses sustained by Max Ventures or others due to the unauthorized use of your account.

12. Prohibited Uses of the Max Ventures Site

You represent and warrant that, as a condition of your use of the Max Ventures Site, you will not use the Max Ventures Site for any unlawful or prohibited purpose (including, without limitation, the restrictions in this Section) by these Terms.

You may not use any of the Max Ventures Materials or the Max Ventures Site for any purpose other than your personal use. You undertake not to reproduce, duplicate, copy, sell, trade, resell, distribute, or exploit any component of the Max Ventures Site, use the Max Ventures Site, access the Max Ventures Site, or Non-Max Ventures Content accessed from the Max Ventures Site for any purpose other than for your personal use.

You agree not to use the Max Ventures Site if you do not meet the eligibility requirements described in Section 1 above.

You agree not to defame, harass, abuse, threaten, stalk or defraud users of the Max Ventures Site and community or collect, or attempt to collect, personal information about users or third parties without their consent.

You agree not to interfere with intentionally or damage, impair or disable the operation of the Max Ventures Site or any user’s enjoyment of it, by any means, including uploading or otherwise disseminating viruses, worms, spyware, adware, or other malicious code.

You agree not to remove, circumvent, disable, damage, or otherwise interfere with any security-related features of the Max Ventures Site which prevent or restrict the use or copying of any part of the Max Ventures or features that enforce limitations on the use of the Max Ventures Site.

You agree not to attempt to gain unauthorized access to the Max Ventures Site, or any part of it, other accounts, computer systems, or networks connected to the Max Ventures Site, or any part of it, through hacking, password mining or any other means or interfere or attempt to interfere with the proper working of the Max Ventures Site or any activities conducted through the Max Ventures Site.

You agree not to obtain or attempt to obtain any materials or information through any means not intentionally made available through the Max Ventures Site. You agree neither to modify the Max Ventures Site in any manner or form nor to use modified versions of the Max Ventures Site, including (without limitation) obtaining unauthorized access to the Max Ventures Site.

You agree that you will not use any robot, spider, scraper, or other automated means to access the Max Ventures Site for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Max Ventures Site.

You agree not to utilize framing techniques to enclose any trademark, logo, or other Max Ventures Materials without our express written consent. You agree not to use any meta tags or hidden text utilizing Max Ventures’ name or trademarks without our express written permission.

You agree not to deep-link to the Max Ventures Site and will promptly remove any links that Max Ventures finds objectionable in its sole discretion. You agree not to use any Max Ventures logos, graphics, or trademarks as part of the link without our express written consent.

You agree not to make unsolicited offers, advertisements, or proposals or send junk mail or spam to other users of the Max Ventures website and community. This includes, but is not limited to, unsolicited advertising, promotional materials or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures.

You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Max Ventures Site or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

You agree not to modify, adapt, translate, or create derivative works based upon the Max Ventures Site or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law, notwithstanding this limitation.

You agree not to impersonate another person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

13. Registered Users

Premium Content is intended for the private, non-commercial use of Registered Users. Any other usage is expressly forbidden. You agree not to copy, publish, or otherwise distribute Premium Content to non-Registered Users if you are a Registered User. To prevent multiple users from sharing a Registered User’s account, Max Ventures retains the right to restrict each Registered User’s access to a limited number of physical locations or machines and a certain number of concurrent logins.

If you wish to purchase any product or service made available through the Max Ventures Site, you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or another payment method (s) in connection with any Purchase; and that (ii) the information you supply to us is accurate, correct, and complete. The Max Ventures Site may use third-party services to facilitate payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product or service availability, errors in the description or price of the product or service, error in your order, or other reasons. We reserve the right to refuse or cancel your order if suspected fraud or an unauthorized or illegal transaction.

14. Dealings with Advertisers

Your correspondence or business relationships with advertisers located on or via the Max Ventures Site and your participation in their promotions are exclusively between you and such advertiser. You agree that Max Ventures are not responsible or liable for any loss or damage incurred due to such deals or the presence of such advertisers on the Max Ventures site.

15. Links and Third-Party Websites

Max Ventures or third parties may offer links on the Max Ventures Site to other sites, including their material (Reference Sites). Max Ventures has no control over such Reference Sites or material; consequently, it makes no claim or representation regarding, and expressly disclaims responsibility for, their correctness, quality, legality, nature, availability, or dependability. Max Ventures provides links solely as a courtesy, and the presence of any link on the Max Ventures Site does not imply our affiliation, endorsement, or adoption of the linked site or any content included therein. Access to and use reference sites, including the information, material, products, and services on or available through reference sites, it at your own risk. Our terms and policies do not apply to sites other than the Max Ventures Site. You recognize and agree that Max Ventures is not responsible or liable, directly or indirectly, for any damage or loss caused or claimed to be caused by or in connection with the use of or reliance on such material, products, or services accessible on or through such Reference Sites or content. You should check any Reference Sites’ applicable terms and policies, including their privacy and data collection procedures.

 

16. Availability of Service

Max Ventures has the right to modify or discontinue any of the material, content, or services offered on the Max Ventures website or in conjunction with the Max Ventures accelerator program at any time and without prior notice. Max Ventures makes no obligation to update any of the media, information, or services found on the Max Ventures website.

17. User Disagreements

You are entirely responsible for your interactions with other Max Ventures Site users. Max Ventures maintains the right to monitor disputes between you and other users but assumes no responsibility. Max Ventures disclaims all liability related to any user agreement.

18. Terms of Use Violations; Termination

You acknowledge that Max Ventures, in its sole and absolute discretion and for any or no reason, may terminate your account or use of the Max Ventures Site and delete and delete all or any part of one’s profile or any User Submission, at any time, regardless of whether you are a Registered User. You agree that your access to the Max Ventures Website or any account or portion thereof may be discontinued without prior notice and that Max Ventures shall not be liable to you or any other party for such termination. These remedies are in addition to any other legal or equitable remedies Max Ventures may have. Registered Users will get no returns upon cancellation.

If you are unsatisfied with the Max Ventures website, please contact us at max@maxventures.es Your feedback is important to us. Your only remedy concerning any dissatisfaction with (i) the Max Ventures Site, (ii) any term of these Terms, (iii) any policy or practice of Max Ventures in operating the Max Ventures Site, or (iv) any content or information transmitted through the Max Ventures Site, is to terminate these Terms and your account. You may cancel these Terms at any time by cancelling your account and terminating usage of all elements of the Max Ventures Site, in addition to sending an email to max@maxventures.es with the termination notice. Registered Users will get no refunds upon cancellation.

Indemnification; Hold Harmless

You agree to indemnify and hold harmless Max Ventures, its parent, subsidiaries, affiliates, or any related companies (including those with substantially common ownership), as well as the officers, Local Leaders, employees, agents, and representatives of any of them, from any claims, losses, obligations, damages, liabilities, costs, debt, and expenses (including attorney’s fees) arising out of your use of the Site.

  1. your use or violation of the Max Ventures Site;

  2. your User Submissions, including Max Ventures’ use, display, or another exercise of the license rights granted hereunder concerning your User Submissions;

  3. breach of these Terms by you;

  4. your violation of the rights of any third party, including any accusations that a User Submission infringes or violates the intellectual property rights of a third party;

  5. your breach of the preceding warranties, representations, and covenants; and

  6. Max Ventures does not engage in unauthorized account access.

Max Ventures retains the right, at your expense, to take the defence and control of any matter for which you are obligated to indemnify us, and you agree to cooperate with us in our defence of these claims. You undertake not to settle any matter without Max Ventures’ prior written authorization. Upon becoming aware of any such claim, action, or proceeding, Max Ventures shall make reasonable attempts to inform you.

20. Disclaimers; No Warranties

Acknowledgment. You fully acknowledge that, as used in this section 20, the term Max Ventures include directors, officers, employees, shareholders, agents, affiliates, and subcontractors of Max Ventures.

No warranty. Max Ventures disclaim all warranties, statutory, express, or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement of proprietary rights, to the fullest extent permitted by applicable law. No advice or information, oral or written, obtained by you from Max Ventures through the Max Ventures site or the Max Ventures accelerator program shall create any warranty not expressly stated herein.

As is and as available and with all faults. You expressly agree that using the Max Ventures site and, if applicable, your enrollment in the Max Ventures accelerator program is at your sole risk. The Max Ventures site, user submissions, non-Max Ventures content, and any other third-party media, content, software, services, reference sites, or applications made available in conjunction with or through the Max Ventures site and the Max Ventures accelerator program are provided on an as is and as available, with all faults basis and without warranties or representations of any kind, either express or implied.

Website operation and non-Max Ventures content. Max Ventures do not warrant that the Max Ventures materials, user submissions, non-Max Ventures content, Max Ventures site, reference site, or any other information offered on or through the Max Ventures site, the Max Ventures accelerator program, or any reference sites will be uninterrupted or free of errors, viruses, or other harmful components and does not warrant that any of the preceding will be corrected.

Accuracy. Max Ventures make no representations or warranties about the use or the results of the Max Ventures site, the Max Ventures accelerator program, or any reference sites in terms of correctness, accuracy, reliability, or otherwise.

Harm to your computer. You agree and acknowledge that you use, access, download, or otherwise obtain information, materials, or data through the Max Ventures site or any reference sites at your discretion and risk and that you will be solely responsible for any damage to your property or loss of data that results from the download or use of such material or data.

 

21. Limitation of Liability and Damages

 

Limitation of liability. Under no circumstances and no legal theory, including but not limited to negligence, shall Max Ventures or its affiliates, contractors, employees, agents, or third-party partners or suppliers be liable for any special, indirect, incidental, consequential, or exemplary damages arising out of or relating to these terms or the Max Ventures accelerator program, or that result from your use or inability to use the Max Ventures materials and user submissions on the Max Venture’s website.

Limitation of damages. In no event shall Max Ventures or its affiliates, contractors, employees, agents, or third-party partners, licensors, or suppliers’ total liability to you for all damages, losses, and causes of action arising out of or relating to these terms or your use of the Max Ventures site.

Reference sites. These limitations shall also apply concerning damages incurred because of any products or services sold or provided on any reference sites or otherwise by third parties other than Max Ventures and received by you through or advertised on the Max Ventures site or received by you through any reference sites.

 

22. Limitations by Applicable Law; Basis of the Bargain

Limitations imposed by Applicable Law. Certain jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. in such jurisdictions, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights. The limitations and exclusions of warranties, remedies, and liability contained in these terms apply to you to the maximum extent permitted by the laws of the jurisdiction where you are located.

 

Basis of the Bargain. You acknowledge and agree that Max Ventures have offered its products and services, including, if applicable, enrollment in the Max Ventures accelerator program, and entered into these terms in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limits of liability set forth herein reflect a reasonable and fair allocation of risk between you and Max Ventures, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and Max Ventures. You acknowledge and agree that Max Ventures would not be able to provide the Max Ventures site to you or, if applicable, offer you enrollment in the Max Ventures accelerator program on an economically reasonable basis without these limitations.

23. Entire Agreement

These terms and any applicable written agreement executed by you and Max Ventures in connection with the Max Ventures accelerator program constitute the agreement between you and Max Ventures concerning the subject matter herein and supersede all prior oral or written communications, representations, understandings, and agreements between the parties concerning said subject matter. These Terms may only be updated by a letter signed by both parties or by a change to these Terms or Guidelines made by Max Ventures as described in Section 3 above.

24. Claims

You agree that any cause of action by you arising out of or related to the Max Ventures site or the Max Ventures accelerator program must be brought within one (1) year after the cause of action arose. Such a cause of action is otherwise permanently barred.
